Subscription of shares issued by Petrom Aviation S.A. (ROFU)

According to the prescriptions of article 149 paragraphs (1) and (2) corroborated with article 149 paragraph (4) letter d of Regulation no. 1/2006 issued by the National Securities Commission, Petrom S.A. informs that it has subscribed shares issued by Petrom Aviation S.A. within the capital increase of Petrom Aviation S.A. approved through the Decision no. 3/27.04.2009 of the Extraordinary General Meeting of Shareholders. We specify that Petrom S.A. has the quality of Petrom Aviation S.A.’s shareholder, therefore being presumed by law to have the quality of insider person.

Thus, during the subscription period for the capital increase of Petrom Aviation S.A., Petrom S.A. subscribed a total number of 69,795,951 newly issued shares for the issuance price of RON 0.1/share; Petrom S.A. has already paid off the total value of these shares, that is RON 6,979,595.1. Petrom S.A.’s subscription was validated by the Board of Directors of Petrom Aviation through the Decision no. 4/14.07.2009.

After the capital increase of Petrom Aviation S.A. will have been registered in the shareholders’ register of the Central Depository, Petrom S.A. will hold a total number of 242,882,775 shares, which represents 95.2046% of the increased share capital amounting to RON 25,516,640.8 divided into 255,116,408 nominative shares.
